Regarding the CJAI Special Members' Meeting

1. When is the Special Members' Meeting?

The Special Members' Meeting is scheduled for July 13, 2026 at 7:00 PM.

2. Who is eligible to vote?

The meeting notice states that voting eligibility is based on the record date of May 25, 2026.

Not-for-Profit Corporations Act, 2010, S.O. 2010, c. 15 states:

Record date

54 (1) The directors may fix a date as the record date for,

  • (a) determining members entitled to receive notice of a meeting of the members;
  • (b) determining members entitled to vote at a meeting of the members;
  • (c) determining members entitled to participate in a liquidation distribution; or
  • (d) determining members for any other purpose. 2010, c. 15, s. 54 (1).

Limitation

(2) A record date must not be more than 50 days before the day of the event or action to which it relates. 2010, c. 15, s. 54 (2).

May 25, 2026 is less than 50 days before July 13, the date of the Special Meeting.

3. How is membership eligibility determined and documented?

A member is defined as:

Any person who provides a monetary or in-kind contribution to the corporation on or after October 9th, 2024.

To confirm your membership status for the purpose of the special meeting, please submit the following information to membership@cjai.ca by July 8, 2026:

  • name
  • email address
  • mailing address
  • volunteer or in-kind contribution
  • date you became a member

4. I became a member after May 25. Can I attend the meeting?

Yes, any member may attend the meeting, but only those registered by May 25, 2026, are eligible to vote.

5. Can members access the membership roster?

No. The membership list is confidential to protect the privacy of members.

6. How can members participate if they cannot attend in person?

Any member who is eligible to vote can authorize a proxy to attend in their absence. See the Proxy Instructions for details.

7. Why is the meeting being held on Amherst Island?

The meeting location is across the road from the Head Office location of Amherst Island Radio.

8. Does the ferry cost create a barrier to participation?

No. The meeting location is within walking distance of the ferry. There is no cost to foot passengers. If you have accessibility needs, please contact info@cjai.ca.

9. Can the meeting be conducted via Zoom?

Online voting for a non-profit membership meeting introduces significant legal vulnerabilities, security hazards, accessibility gaps, and governance risks.

Members frequently demonstrate less restraint in a virtual chat or poll compared to an in-person meeting. This online disinhibition can increase internal friction, lower decorum, and yield impulsive voting outcomes.

10. Will an independent chair or moderator preside over the meeting?

No. Since proxy forms may instruct predetermined voting, a moderator would serve no functional purpose, even if arguments or minds change.
